What we do, in detail

Four functions, carried out for the group's own subsidiaries.

Program 01 · Answerable on any day

Shareholdings & governance

Banks, insurers and counterparties all eventually ask who owns what and who is entitled to decide. Keeping registers current, resolutions signed and articles matching how the group actually operates means that question has an answer on any given day rather than after a week of searching.

Stage 2 · Documents

Stage 3 · Decisions

Stage 4 · Maintained

Stage 1 · Register

Every asset and where it sits.

Stage 2 · Arrangements

Documented, on commercial terms.

Stage 3 · Insurance

Stage 4 · Reviewed

As the group's needs change.

Program 02 · Held centrally, used locally

Premises, vehicles & equipment

Holding assets centrally and making them available to the trading companies keeps the ownership clear and the arrangements documented. Intra-group use is on commercial terms recorded in writing, because undocumented arrangements are where groups create problems for their own accountants and auditors.

Program 03 · Nothing struck off

Statutory filings & records

Companies House strikes off companies that miss filings, and it happens to otherwise well-run groups simply because nobody held the calendar. We hold it for every subsidiary, with reminders well ahead of each deadline rather than in the week it falls due.

Program 04 · Decided, not drifted

Capital allocation

Each trading company is reviewed against what was expected of it, and the group's own capital is allocated deliberately rather than by habit. That includes the uncomfortable conclusions — restructuring something, or deciding a business has had its last round of support.
